Enterprise licenses and custom consulting services are subject to custom terms and are not eligible for the standard 30-day refund policy unless otherwise agreed in writing.
Enterprise Licensing

Usage Restrictions

- Remove or alter copyright notices, trademarks, or proprietary markings
- Use reports for public distribution, broadcasting, or commercial purposes

User Content

However, by using the Service, you grant Profound a worldwide, non-exclusive license to use, reproduce, modify, and distribute your content for service improvement, analytics, and support purposes.

License Transfer and Seat Additions
User seats may be transferred to other employees within the same organization. Additional seats can be purchased through your account dashboard or by contacting sales. Unused seats cannot be refunded.
Acceptable Use
You agree not to use the Profound Service for any unlawful, harmful, or abusive purpose. Specifically, you may not:
- Violate any applicable laws, regulations, or third-party rights
- Attempt to gain unauthorized access to our systems or other users' accounts
- Transmit malware, viruses, or other harmful code
- Engage in harassment, threats, or abusive behavior
- Spam, phish, or engage in social engineering attacks
- Interfere with the normal operation of the Service or disrupt network access
- Scrape or automate data collection without authorization
- Use the Service to develop competing products or services
- Exceed reasonable rate limits or bandwidth usage
- Resell or redistribute access without proper licensing
We reserve the right to suspend or terminate accounts that violate this policy without refund.

TO THE FULLEST EXTENT PERMITTED BY LAW, PROFOUND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF PROFOUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Profound and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

- Your account or use of your credentials by a third party
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree that any legal action or proceeding shall be conducted exclusively in the state or federal courts located in New York County, New York, and you irrevocably consent to the jurisdiction and venue of such courts.
Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good faith negotiation. Contact our legal team at the address provided to discuss any dispute.
Arbitration
If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services). The arbitration shall be conducted in New York, New York, in accordance with JAMS rules and procedures.
Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class action, collective action, or representative action.
Changes to These Terms
Profound reserves the right to modify these Terms at any time. Material changes will be communicated to you via email or through prominent notice on our platform. Your continued use of the Service following such modifications constitutes your acceptance of the updated Terms.
If you do not agree to any modifications, you may cancel your subscription. Cancellation requests must be submitted in writing to contact@profound.com.
